Invoism is provided by Jacob Indian Technologies Private Limited ("we," "us," or "our"), an Indian company based in Thiruvananthapuram, Keralam. These Terms of Service ("Terms") govern your access to and use of the website and services available at https://invoism.com (the "Service")—a GST invoicing and compliance platform designed for Indian businesses, MSMEs, startups, and freelancers.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Invoism provides GST-compliant invoicing, customer management, product catalog, payment tracking, bank account management, and related features. We also offer free tools such as GST calculators, HSN lookup, and invoice generators. Subscription plans (Starter/Free and Pro) may have different feature limits and usage caps.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. This includes subscription plans, features, and pricing. We will use reasonable efforts to notify users of material changes.

3. Account Registration and Security

You must create an account to use certain features of the Service. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity under your account. Notify us immediately if you suspect unauthorized access.

You must be at least 18 years of age and capable of entering into a binding contract to use the Service.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any Indian or applicable law
  • Violate GST, tax, or regulatory requirements when generating invoices or reports
  • Upload false, misleading, or fraudulent data
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Use the Service to transmit malware, spam, or harmful content
  • Resell, sublicense, or commercially exploit the Service without our written consent
  • Scrape, crawl, or use automated means to access the Service beyond permitted API use

We may suspend or terminate your account if we reasonably believe you have violated these Terms or applicable law.

5. Subscription, Fees, and Payment

Some features require a paid subscription (e.g., Pro plan). Fees are in Indian Rupees (₹) and are billed as described on our pricing page. By subscribing, you agree to pay all applicable fees. Subscription fees are generally non-refundable except as stated in our Refund Policy or as required by law.

We reserve the right to modify, suspend, or discontinue subscription plans at any time. This includes: changing plan features, pricing, or limits; suspending existing plans; introducing new plans; or retiring plans. We will use reasonable efforts to notify affected users of material changes. For paid subscribers, we will typically provide notice before applying changes that materially reduce your plan's value or increase its price.

We may change fees with reasonable notice. Continued use of paid features after a fee change constitutes acceptance. You may cancel your subscription at any time; access to paid features will continue until the end of the current billing period.

6. Your Data and Content

You retain ownership of the data and content you upload to the Service (invoices, customer data, etc.). By using the Service, you grant us a limited license to process, store, and display your data as necessary to provide the Service and as described in our Privacy Policy. You are responsible for ensuring you have the right to upload such data and that it complies with applicable law.

7. Intellectual Property

Invoism, our logos, and the Service (including software, design, and content we provide) are owned by Jacob Indian Technologies Private Limited or our licensors. You may not copy, modify, distribute, or create derivative works without our written permission. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes in accordance with these Terms.

8. GST and Tax Disclaimer

Important: Invoism provides tools to help you create GST-compliant invoices and manage your business data. We do not provide tax, legal, or accounting advice. You are solely responsible for ensuring your invoices, returns, and business practices comply with Indian GST laws and other applicable regulations. We recommend consulting a qualified chartered accountant or tax professional for specific advice. We are not liable for any errors, omissions, or non-compliance in your use of the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JACOB INDIAN TECHNOLOGIES PRIVATE LIMITED AND ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ₹5,000, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Jacob Indian Technologies Private Limited and its directors, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms or applicable law; (c) your data or content; or (d) any dispute between you and a third party related to the Service.

12. Termination

You may terminate your account at any time. We may suspend or terminate your account or access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. We may retain your data as described in our Privacy Policy and Data Retention Policy.

13. Changes to Terms

We may update these Terms from time to time. We will post the updated version with a revised "Last Updated" date. Material changes will be communicated via email or a notice on the Service. Continued use of the Service after changes constitutes acceptance. If you do not agree to the new Terms, you must stop using the Service.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts at Thiruvananthapuram, Keralam, India. You agree to attempt to resolve disputes amicably before initiating legal proceedings.

15. General

These Terms, together with our Privacy Policy and any other policies we publish, constitute the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right does not waive that right. You may not assign these Terms without our consent; we may assign them without restriction.
